Reply Badge APP – Terms of Use

Welcome to Reply Badge APP! Please read these terms of use (“Terms” o “Terms of Use”) carefully, which govern your use of the Reply Badge APP and of your Virtual Badge.

Definitions
- Content: the platform name, design and/or branding and other content that is available through and forms part of the Reply Badge APP, including your Virtual Badge.
- You: the Reply employee or Reply collaborator who uses the Reply Badge APP.
- Reply, We, Us: Reply S.p.A., with registered office in Corso Francia 110, 10143, Turin (TO), P. IVA IT08013390011, directly or through the Reply Group Companies.
- Reply Group Company: any company that directly or indirectly controls, is controlled by, or is under common control with Reply, for so long as such control exists. For the foregoing, “control” shall mean any of the following: holding, directly or indirectly, more than 50% of the voting stock or capital of the respective company, or the possession of the power, directly or indirectly, to direct or cause the direction of the management and policies of such company, whether through ownership of securities, by contract or otherwise.
- Reply Badge APP: the Reply Badge platform, including the Content (defined above), features, functionality, user interface, software, and all associated application(s), website(s), user communications and other technology platforms.
- Virtual Badge: the badge that You shall download using the Reply Badge APP, which allows you to check in at and/or check out of Reply’s offices that have implemented such technology.
Reply Badge APP
1. To access the Reply Badge APP, You shall use a mobile device and You are required to use your Reply email address and password and complete authentication via “Duo Mobile”.
2. When logging in for the first time on the Platform, after authentication, You shall accept the Terms of Use and the “Reply Badge APP – Privacy Notice” that You can find below.
3. Once logged in, welcome messages will then appear, inviting You to download Your Virtual Badge to your mobile device’s wallet, and you shall do it.
4. You need an internet connection for your mobile device in order to: (i) access to and use the Reply Badge APP; (ii) download the Virtual Badge.
5. In the Reply Badge APP the following functionalities are available for You:
  (i) Badge: where You can always check your badge status. Please be aware that to access Reply’s offices You have to follow the rules in paragraph 3 below;
  (ii) Reply Locations: where You can check the locations in which the Virtual Badge technology has been implemented;
  (iii) Transit History: where You can check the date of your first check-in at each Reply’s office using the Virtual Badge;
  (iv) Help: If You are a Reply employee You can find the link to “Reply’s Service Desk” to open a ticket for help. If You are a Reply collaborator You shall refer to your Reply point of Contact.
6. Any use of the Reply Badge APP different from those listed in the present paragraph is expressly prohibited.
Virtual Badge
1. To use the Virtual Badge, You shall download it to your mobile device’s wallet, as indicated in paragraph 2.2 above. You acknowledge that the Virtual Badge works only with an iOS or Android wallet.
2. You can download the Virtual Badge on more than one mobile device, and You can sync it with your smartwatch. In such a case, please be aware that the Virtual Badge will work on the last mobile device on which You have downloaded it.
3. You acknowledge that authorized Reply’s personnel may request to view it on your mobile device for identification and security purposes.
4. Any use of the Reply Badge APP different from those listed in the present paragraph is expressly prohibited.
Reply Badge APP and Virtual Badge terms of use
1. The Reply Badge APP and the Virtual Badge are: (i) owned and provided by Reply; (ii) reserved for Reply’s business purposes only and (iii) not intended for personal purposes.
2. Access to and use of the Reply Badge APP and of the Virtual Badge are free of charge.
3. You acknowledge that the Reply Badge APP and the Virtual Badge are Reply-provided work tools. If You are a Reply Employee, You must use them in accordance with and comply with the “Secure management of assets and information: behavioral rules and regulations” policy available on TamTamy. If You are a Reply collaborator, You must use them in accordance with and comply with the rules of conduct laid down by the “REPLY Security Guidelines” of the Reply Group Companies delivered to You or to the company that employs You that has in place the contract with Reply.
4. You are responsible for all activities that will be carried out through your account of the Reply Badge APP and of any use of the Virtual Badge.
5. Your Reply Badge APP account and your Virtual Badge are strictly personal and you undertake:
  1. not to share your login and password with anyone (sharing credentials with any third party is expressly forbidden) and to take appropriate precautions to ensure that your password and your Virtual Badge remain secure and confidential;
  2. to inform Reply immediately if You have reason to believe that any unauthorized third party is aware of your password, or if your password and/or Virtual Badge is, or is likely to be, used in an unauthorized manner;
  3. that will not allow any other persons to access the Reply Badge APP and the Virtual Badge;
  4. in case of loss of the device on which the Virtual Badge has been downloaded, Reply has to be informed immediately so that the Virtual Badge can be blocked and a replacement badge can be issued.
6. You shall not use your Reply Badge APP account and/or the Virtual Badge:
  1. in such a way as to cause, or be likely to cause, interruptions, damage or malfunction to its functionality;
  2. for fraudulent purposes, or in any case to commit illegal activities or aimed at misleading Reply;
  3. for personal purposes.

Intellectual Property rights
1. The Contents present or made available during the access and use of the Reply Badge APP, including all the material and information in any forms provided, among others, trademarks, distinctive signs, graphic elements, logos, texts, images, buttons, icons, including the layout of the same (the “Material/s”), are the sole property of Reply or are licensed to Reply and are protected by applicable laws on copyright and other intellectual property rights.
2. You shall not have any right to copy, modify or use the Materials in any way other than those permitted by Reply, without Reply’s written consent. It is therefore understood that under no circumstances shall the above-mentioned rights become your property and/or that of third parties.
3. Reply shall under no circumstances be liable for any inappropriate or unauthorized use of the Materials by You.
Protection of personal data
1. In relation to the processing of your personal data, please refer to the Privacy Notice available below.
Confidential information
1. The Contents and Materials are currently confidential, and sharing any information about it outside of Reply is strictly prohibited.
2. You undertake to observe the utmost confidentiality regarding the Contents and the Materials and You shall take all necessary measures to prevent unauthorized or unlawful disclosures. These confidentiality obligations shall be binding on You until the confidential information mentioned in this article 8 becomes publicly known.
Changes, modifications and termination of the Reply Badge APP
1. Reply reserves the right at any time, at its sole discretion and without notice, to make changes to the Reply Badge APP, cancel or suspend access to the Reply Badge APP and/or the use of the Virtual Badge.
Breaches of these Terms of Use
1. If You breach the obligations under these Terms of Use, Reply reserves the right to suspend your access to the Reply Badge APP and/or the use of the Virtual Badge, without prejudice to any further rights under applicable laws and your employment contract if You are a Reply employee.
Guarantees and liability
1. Reply’s obligations related to the access and use of the Reply Badge APP and/or the use of the Virtual Badge are to be understood as obligations of care and skill. The access and use of the Reply Badge APP and/or the use of the Virtual Badge are provided “as is”. Reply does not provide any guarantee that the Reply Badge APP and/or the Virtual Badge: (i) will meet your expectations or (ii) the Reply Badge APP will achieve specific or set objectives.
2. Reply shall in no event be liable for your conduct, nor shall Reply be liable for any reason whatsoever for any damage originating from the use or non-use of the Reply Badge APP and/or of the Virtual Badge, even if Reply has been advised of the possibility that such damage may occur.
3. Reply shall not be held liable for the malfunctioning or non-functioning of telephone networks or lines, computer systems, servers, providers, e-mail programs or audio/video reproduction programs, both of Reply itself and of third parties on which Reply relies, as well as for the non-functioning of the platforms/services through which the access and use of the Reply Badge APP and/or the Virtual Badge are provided, caused by any technical problem or mobile device/computer attack or by force majeure, which have an impact on the Reply Badge APP and/or the Virtual Badge and their availability, or in any case for events beyond Reply’s control.
4. Moreover, Reply, although it undertakes, within its competence, to intervene in a short time to remedy any malfunction or disservice that may arise and/or which is reported by You, does not guarantee the resolution of the disservice.
5. Reply shall not be liable for direct and indirect damages caused to persons and things in the access and use of the Reply Badge APP and/or the Virtual Badge, it being understood in any case that Reply shall not be liable for damages of any kind suffered by You in relation to the access and use of the Reply Badge APP and/or the Virtual Badge, expressly including direct and indirect damages, loss of profit and damages due to loss of production or income, and those deriving from the non-use, in whole or in part, of the Reply Badge APP and/or the Virtual Badge.
Force majeure events
1. In the event of force majeure events, unforeseeable circumstances and events beyond Reply’s control, the access and use of the Reply Badge APP and/or the Virtual Badge may be cancelled, providing adequate communication by email to You. In this case Reply shall not be held liable for any delays in the access and use of the Reply Badge APP and/or the Virtual Badge or for the cancellation of certain functionality within the Reply Badge APP.
Modification of these Terms of Use
1. Reply may change unilaterally and at any time, upon notice to You, these Terms of Use, particularly for purposes of compliance with any new applicable legislation and/or regulations and/or to improve the Reply Badge APP and/or the Virtual Badge.
Applicable law and place of jurisdiction
1. These Terms of Use shall be governed by and interpreted in accordance with the laws of
  - the country where the registered office of the Reply entity that employs You is located, if You are a Reply employee;
  - the country where the registered office of the Reply entity that has in place the agreement with You or with the company that employs You is located, if You are a Reply collaborator
  without prejudice to any applicable mandatory local laws.
2. The Court of the city where:
  - the registered office of the Reply entity that employs You is located, if You are a Reply employee;
  - the registered office of the Reply entity that has in place the agreement with You or with the company that employs You is located, if You are a Reply collaborator
  shall have exclusive jurisdiction in relation to any dispute originating from or relating to these Terms of Use.

Reply Badge APP – Privacy Notice

Reply S.p.A. (“Reply,” “we,” or “us”) respects your privacy and is committed to protecting it through our compliance with this Privacy Notice (“Privacy Notice”). This Privacy Notice describes the information we collect and process when you use the Virtual Badges through the specific Reply APP (“Reply Badge APP”) to access Reply buildings.

For additional information about the processing of your personal data, you can refer to the Reply Privacy Notice available based on the relevant data subject category:

for Reply employees, the Reply Privacy Notice for Employees available on TamTamy;
for Reply collaborators, the Reply Privacy Notice for Suppliers available in the footer of the Reply website.

1. Purposes, Legal basis and Data Retention

When you use the Virtual Badges, we may process the following categories of data:

Identification data: name, surname, user ID, role, business email, Company, Country
Access data: time and location of the Virtual Badge use, entry/exit logs, authentication events
Security data: information related to lost, stolen, or deactivated devices or badges.

We do not access the personal content of your device.

We process your data for the following purposes:

Access Management: enabling your Virtual Badge to access Reply buildings.
Security & Safety: monitoring access events to ensure the protection of people, assets, and facilities.
Identity Verification: confirming your identity when using the Virtual Badge and preventing unauthorized access.
Support & Incident Handling: managing technical issues, lost/stolen devices, and access troubleshooting.
Compliance: fulfilling legal, regulatory, and internal security requirements.

The legal basis for the processing of your personal data for such purposes is the legitimate interest of Reply (facility security and controlled access).

Reply retains access logs and authentication data only for the time necessary to fulfil security and compliance requirements, typically 6 months, unless a longer period is required by law.

2. Data Recipients and Data Transfer

In connection with the purposes outlined in Section 1 above, we may disclose your information to:

Authorised internal personnel (e.g., Security, HR, IT support).
Service providers / third-party vendors operating the APP or access control systems under strict contractual obligations (HID Origo, Apple, Google).
Individuals or legal entities appointed by Reply to perform technical interventions, repairs, routine and maintenance, service restoration and updating, consultants, service providers, vendors entrusted to pursue the purposes outlined in section 1 above.
Competent governmental and public authorities, in each case, comply with legal or regulatory obligations or requests.

Apart from the third parties discussed above, your data will not be subject to any wider dissemination by Reply.

In the event that your personal data is transferred by Reply outside the EEA/UK to a country that does not provide an adequate level of protection of personal data, Reply will take measures to ensure that your personal data is adequately protected in accordance with the applicable transfer mechanisms endorsed by competent Authorities (e.g., standard contractual clauses adopted by the European Commission).

3. Updates to this Privacy Notice

We may make changes to this Privacy Notice from time to time. The “Last Update” noted at the top of this page shows when this Privacy Notice was last revised. Any changes will become effective when we post the revised Privacy Notice on the Reply Badge APP.
